Invite Your CA Terms & Conditions (CA)

These Invite Your CA Terms of Service ("Invite Terms") govern your access to and use of the Invite Your CA Portal ("Portal") provided by Lunchbrake Classic Private Limited ("Fold", "Company", "we", "us", or "our"). The Portal allows users ("You", or "Your") to request and access information of Fold users who have authorized such access.

BY ACCESSING OR USING THE PORTAL, YOU AGREE TO BE BOUND BY THESE INVITE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT ACCESS OR USE THE PORTAL.

These Invite Terms are supplemental to and incorporated into our main Terms of Service ("Original Terms"). The Original Terms continue to govern your use of the Website, and in the event of any conflict between these Invite Terms and the Original Terms, these Invite Terms will prevail. By using the Portal, you agree to be bound by these Terms, the Original Terms, our Privacy Policy, and any other applicable policies referenced therein.

1. ELIGIBILITY AND REGISTRATION

1.1 Professional Qualification

You represent and warrant that you are a licensed or certified financial professional legally authorized to provide permitted services in your jurisdiction.

1.2 Account Registration

To access the Portal, you must register for an account by providing accurate and complete information, including your professional credentials, license numbers, and business information. You agree to keep your registration information current and accurate at all times.

1.3 Verification

Fold reserves the right to verify your professional credentials and may request additional documentation to confirm your identity and professional status. Fold may deny or revoke access to the Portal if it cannot verify your credentials or if you do not meet the eligibility requirements.

2. SERVICES PROVIDED

2.1 Request Process

The Portal enables a two-way request process for establishing a connection

Professional-Initiated Requests: When you initiate a request to a Fold user to access their financial information, each request must: (a) clearly specify the scope of financial information being requested, (b) state the purpose for which the information will be used, and (c) specify the duration for which access is requested.

User-Initiated Requests: When a Fold user initiates a request for you to access their financial information: (a) You will receive a notification through the Portal, (b) The request will specify the scope of financial information the user is willing to share, (c) you have the option to accept or reject the request within the Portal

2.2 Authorization Process

You acknowledge that: (a) Both parties (you and the Fold user) must consent to establish a data sharing connection, (b) Fold users have complete discretion to accept or reject your requests and may revoke their authorization at any time, (c) You have complete discretion to accept or reject requests initiated by Fold users, (d) Upon revocation by either party, access will be terminated immediately, (e) You will receive notification when a user accepts, rejects, or revokes authorization, and (f) The Fold user will receive notification when you accept, reject, or revoke authorization

2.3 Data Download

When a data sharing connection is approved by both parties: (a) You may access the Fold user's financial information through the Portal, (b) Each access will be recorded, logged and the Fold user will be notified, (c) Any access is subject to the usage restrictions in these Invite Terms.

3. PERMITTED USE AND RESTRICTIONS

3.1 Permitted Use

You may use the Portal and accessed client financial information solely for: (a) Providing authorised and permitted services to the authorizing Fold user, (b) Purposes consistent with your professional obligations and applicable laws.

3.2 Prohibited Activities

When using the Portal, you shall not: (a) Use information for any purpose not explicitly authorized by the Fold user, (b) Request access from individuals who are not your clients, (c) Use automated means to send multiple access requests, (d) Attempt to bypass security measures or attempt to obtain unauthorised access. (e) Share or disclose client financial information to third parties unless required by law or with explicit client permission, and (f) Use the Portal to develop competing products or services

4. DATA PROTECTION AND PRIVACY

4.1 Data Fiduciary Status

You acknowledge that you are an independent data fiduciary with respect to any information accessed through the Portal and are responsible for complying with all applicable data protection laws.

4.2 Security Measures

You agree to implement appropriate technical and organizational measures to protect client financial information against unauthorized or unlawful processing and against accidental loss, destruction, damage, alteration, or disclosure.

4.3 Data Breach Notification

In the event of a security breach affecting client financial information obtained through the Portal, you shall: (a) Notify Fold within 24 hours of discovering the breach, (b) Provide details about the nature and scope of the breach, (c) Cooperate with Fold's investigation of the breach, (d) Comply with all applicable data breach notification laws, (e) Take immediate steps to mitigate any potential harm.

4.4 Permission Revocation

If a client revokes the connection, you shall: (a) Immediately cease accessing the client's data through the Portal, (b) Permanently delete all copies of the client's financial information within 48 hours, (c) Document the deletion and provide confirmation to Fold if requested, (d) Notify any third parties to whom you have lawfully disclosed the information (if any) about the revocation.

5. Compliance with Laws

You will comply with all applicable laws, regulations, and professional standards relevant to your use of the Portal and handling of information, including but not limited to: (a) Data protection and privacy laws, (b) Financial regulatory requirements, (c) Professional conduct standards, (d) Anti-money laundering regulations, and (e) Tax laws and regulations.
